• Advised Central Group on acquisition of chain of retail outlets in Vietnam under brand name of Big C and C-Express at an enterprise value of 1 billion euros ($1.14 billion);
• Advised Excelsior Oak Limited on investment in TEKCOM Corporation;
• Advised Heliconia Capital Management Pte Ltd, a subsidiary of Temasek, on its USD 103 million investment in a chain of 11 eye and general hospitals;
• Advised VIAC (No.1) Limited Partnership on a proposed acquisition of shares in holding company of two pharmaceutical distribution companies;
• Advised the International Finance Corporation (IFC) on its acquisition of hydropower assets in the central of Vietnam;
• Advised a Hong Kong based leading operator of premium schools, on the agreement with a reputable international school group in Vietnam to join its network of schools;
• Advised Dream Incubator Vietnam Joint Stock Company on a proposed acquisition of shares in holding company of a chain of beverage stores in Vietnam;
• Advised one of the largest solid waste incinerator in Hong Kong on a proposed acquistion of a waste incineration generating power plant in Cu Chi District, Ho Chi Minh City;
• Advised Vilmorin & Cie SA, a second worldwide vegetable seeds company based in France, on the 100% acquisition of Tropical Development and Investment Corporation, one of the companies operating in seeds, agricultural products and fertilizers in Vietnam;
• Advised Zannier group a French hospitality group on an acquisition in Vietnam and its expansion plans of an existing high end resort in Phu Yen Province, Vietnam;
• Advised Olive Tree in relation to an M&A transaction of a real estate project in District 7 and Thu Duc District, Ho Chi Minh City;
• Advised Masan Group Corporation on a proposed acquisition of shares of a leading company producing cattle feed;
• Advised Pilmico a world leader on processing of frozen seafood in relation to acquisition of 100% of the equity of a foreign-invested fish processing factory in Mekong Delta area;
• Advised SingPost in relation to its share subscriptions, acquisition of new shares in ITL, and divestment from ITL;
• Advised Uoolu in relation to its acquisition of a local company; and
• Advised Goodwin Procter LLP on a number of acquisition deals in relation to various clients’ investments in local companies.

Banking and Capital Markets

• Advised Empire City LLC on reviewing loan agreements and security agreements with a Vietnamese bank;
• Advised Nui Phao Mining Corporation (NPM), a subsidiary of MHT, as bond issuer on its private placements of total VND1,500 billion bonds in 2018;
• Advised a fintech company on its proposed acquistion of one of the biggest consumer finance company in Vietnam;
• Advised the World Bank on the enforcement of security interests and borrower insolvency and related legal implications;
• Advised international lessors on the full range of regulatory and transactional aviation matters in relation to cross-jurisdictional aircraft finance leasing structures to Vietnam domiciled lessees; and
• Advised on corporate financings by foreign lenders and taking of security over a variety of assets under the laws of Vietnam.

Energy and Infrastructure

• Advised a major international steel manufacturer in relation to its proposed international acquisition of a significant equity stake in a large-scale steel manufacturing company, domiciled in Vietnam;
• Advised an international lender on various legal issues in relation to a syndicated facility for a BOT power project;
• Advised the International Finance Corporation (IFC) in relation to a subsidiary’s investments in certain equitize hydropower assets in the central of Vietnam; and
• Advised an international EPC contractor on construction issues in respect of a power project.

Commercial and Investment Activities

• Advised to AstraZeneca Singapore on strategic memorandum regarding legal framework and models for the local importing and exporting in Vietnam;
• Advised Decathon, a leading French sport equipment supplier, in relation to its prosed e-commerce activities in Vietnam;
• Advised certain foreign investors such as Pilmico, Lowe’s, Zannier Group in setting up their subsidiaries or representative office in Vietnam;
• Advised RMIT on its restructuring and obtainment of licenses and permits required for education operations;
• Advised Fulbright Vietnam on various regulatory matters in respect of daily operation of education establishment in Vietnam; and
• Advised the Representative Office of Pfizer Thailand in Vietnam on operational and compliance issues in relation to advertising and promotions, supply and distribution contracts, and regulatory and compliance rules in Vietnam.
