    Kim Ann Duong is a Counsel based in the Ho Chi Minh City office. She specializes in banking and finance, mergers and acquisitions, private equity, securities and corporate law. Dual-qualified in both Vietnam and New York, Kim has held several senior leadership positions, including Head of Investment Banking, Head of Legal, and Head of Compliance at both international and domestic organizations. She has represented clients in both contentious and non-contentious matters, and her experience extends to board-level responsibilities, financial distress, and corporate crisis management.

    In addition to her legal expertise, Kim has a strong background in finance. She completed The Wharton School’s Business Program in Corporate Finance & Financial Accounting (2012), and is currently a candidate for the ACCA (Association of Chartered Certified Accountants).

    • Advised a foreign investor as in-house counsel on the acquisition and restructuring of the world’s largest tungsten mine outside China.
    • Represented a foreign investor in an international arbitration dispute involving a mining investment and its supplier.
    • Advised a foreign investor as in-house counsel on structuring the acquisition of a leading Vietnamese state-owned beverage corporation.
    • Advised both foreign and domestic investors on the acquisition of renewable energy projects in Vietnam.
    • Advised a local corporation on structuring a bond buyback transaction where the guarantor was under the State Bank’s special control.
    • Provided counsel on various transactions concerning private corporate bonds, compliance with accredited investor criteria, and securities regulations in distressed contexts.
    • Advised a foreign investor as in-house counsel on a judicial review that successfully led to the Supreme People’s Court of Vietnam voiding a Court of Appeal judgment related to a non-conventional convertible loan structure.
    • Advised on the establishment of U.S. investment funds targeting opportunities in Vietnam.
    • Advised on managed account agreements with foreign asset managers for the management of their fund assets in Vietnam.
    • Advised on corporate governance policies for both public and private companies in Vietnam.
