2009 – 2023: YKVN’s unparalleled journey in Vietnam’s M&A sector at the 15th Vietnam M&A Forum

The 15th Vietnam M&A Forum recognized YKVN’s unique presence in the most prominent transactions over 2009 – 2023 period, from landmark privatizations to pivotal M&A and PE deals. Our teams were at the forefront in 8 of the top 10 value transactions and involved in nearly one-third of 30 prominent transactions over the 15-year period.  

Looking back at the 10 outstanding billion-dollar M&A deals over 2009 – 2023, we were sole counsel on 4 of those 8 deals and worked alongside our best friend international firms for the other 4 deals:  

  1. ThaiBev acquisition of 54% stake in Sabeco

ThaiBev (Thailand) acquired a 54% stake in Sabeco, Vietnam’s leading brewer, for USD 5 billion, marking a significant shift in ownership of the Saigon Beer brand. YKVN was sole counsel to Sabeco in this deal.   

  1. GIC Private Limited investment in Vinhomes 

GIC Private Limited, an investment firm based in Singapore, invested USD 1.8 billion in Vinhomes, a major Vietnamese real estate developer. YKVN was sole counsel to GIC in this deal.   

  1. TNK-BP purchase of BP Vietnam assets

TNK-BP purchased BP’s upstream, pipeline and electricity assets in Vietnam and Venezuela for a total cost of USD 1.8 billion.    

  1. Kuehne + Nagel acquisition of Apex International

Kuehne + Nagel, a global logistics provider, purchased Apex International, a Southeast Asian logistics company, for USD 1.5 billion, expanding its regional reach.   

  1. SMBC acquisition of 15% stake in VPBank 

Sumitomo Mitsui Financial Group (SMBC) of Japan acquired a 15% stake in VPBank, a Vietnamese bank, for USD 1.5 billion. YKVN was sole counsel to VPBank in this deal.   

  1. SMBC purchase of 49% stake in VPBank’s FE Credit

SMBC purchased a 49% stake in FE Credit, VPBank’s consumer finance subsidiary, for USD 1.4 billion. YKVN was sole counsel to VPBank in this deal.   

  1. Central Group (Thailand) acquisition of Big C supermarket chain 

Central Group of Thailand acquired Big C, a Vietnamese supermarket chain, for USD 1.14 billion, solidifying its position in the Vietnamese retail sector.   

  1. Singha Asia Holding Pte Ltd acquisition of 25% stake in Masan Consumer and 33.3% of Masan Brewery

Singha Asia Holding Pte Ltd, a Singaporean investment company, invested USD 1.1 billion in Masan Consumer and Masan Brewery, two leading Vietnamese beverage companies.
